Standard Terms and Conditions for Professional Services and Online Courses

These Standard Terms and Conditions (the "Terms") constitute a legal agreement between MindSculpt Ltd. (the "Company") and the client ("Client") who is seeking to engage the Company to provide professional services or online courses. By agreeing to these Terms, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms.

  1. Services The Company agrees to provide professional services or online courses as described in the proposal or statement of work agreed upon by the parties (the "Services"). The Services will be performed in a professional and workmanlike manner, consistent with industry standards.

  2. Fees and Payment The Client agrees to pay the Company the fees specified in the proposal or statement of work. The fees are due upon receipt of the invoice and must be paid in full before any Services are rendered. The Company reserves the right to suspend or terminate the Services in the event of non-payment.

  3. Confidentiality The Company and the Client agree to maintain the confidentiality of any information exchanged between them during the course of the Services. This includes, but is not limited to, any trade secrets, confidential information, or proprietary information.

  4. Ownership of Work Product All work products created by the Company as part of the Services, including but not limited to, software, documentation, reports, and other deliverables, shall be owned by the Company unless otherwise specified in the proposal or statement of work.

  5. Intellectual Property Rights The Company retains all intellectual property rights in any and all work product created as part of the Services. The Client shall not use, reproduce, modify, or distribute any work product without the Company's prior written consent.

  6. Warranty and Disclaimer of Liability The Company represents and warrants that the Services will be performed in a professional and workmanlike manner, consistent with industry standards. The Client agrees that the Company's liability for any claims arising out of or related to the Services shall be limited to the amount of fees paid by the Client for the Services. The Company shall not be liable for any indirect, consequential, or incidental damages arising out of or related to the Services.

  7. Termination Either party may terminate the Services upon written notice to the other party. In the event of termination, the Client shall pay the Company for any Services performed up to the date of termination.

  8. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the United Kingdom without regard to its conflict of law provisions. The parties agree to submit to the personal jurisdiction of the courts located in [your state/country] for any actions arising from or related to the Services.

  9. Entire Agreement These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
